Wren | Terms of Use

Wren is a public benefit corporation with a mission to help reverse the climate crisis. These Terms of Use govern Wren’s digital products and website (together the Service), including but not limited to:

Any person or business engaging in the Service is referred to as a Member.

General terms

1.1. By accessing or using any part of the Service, Members agree to have read, understood, and be bound by these Terms of Use, including future modifications. Wren may amend, update, or change these Terms of Use. If a Member does not agree to abide by these Terms of Use, they are not authorized to use, access, or participate in the Service. Wren’s Privacy Policy can be read alongside these Terms of Use.

1.2. In connection with registering for and using the Service, Members agree to provide accurate, current and complete information as requested by Wren, maintain the confidentiality of their password and other security details, ensure the ongoing accuracy of their information, and be fully responsible for any actions that take place through their Wren account. If any inappropriate behavior is conducted through their account, Wren may cancel their Service, delete their account, or take legal action depending on the severity of the issue.

1.3. Any Member completing a paid transaction with Wren must provide a valid payment method, which they are authorized to use. If a Member has a recurring subscription, they authorize Wren to charge their next payment unless they pause or cancel their subscription before their next billing date. Previous payments are refundable at Wren’s discretion. If a payment is unsuccessful, it may be reattempted, and the subscription may lapse if the payment is not settled after a series of attempts. If a Member disputes a charge, Wren may cancel their subscription.

1.4. Wren will send Members emails in accordance with their communications preferences. If a Member unsubscribes from communications, they may still receive transactional messages including important updates to their account or material changes to the way Wren operates.

1.5. Wren utilizes carbon footprint data, which is calculated based on the information a Member provides on Wren’s website. Generic data may be used in the absence of personal entries. Wren is not liable for any discrepancies between calculated and actual emissions, or inaccuracies in carbon footprint results, and does not guarantee the accuracy of carbon footprint data.

1.6. Wren completes due diligence and implements safeguards to optimize portfolio and project performance and reduce risk. If a portfolio or project does not perform, Wren will endeavor to implement an appropriate solution, but ultimately Wren is not liable for non-performance, fraud, or any other failure of a funded portfolio or project.

1.7. These Terms of Use are governed by the law of California, United States, regardless of a Member's country of origin or where a Member accesses the Service. By using the Service, Members agree to abide by the law of California, United States and the country where they access the Service. This includes laws about online behavior, acceptable content, and sharing data across borders. They also confirm that they have the right to use the content they submit through the Service, and give Wren permission to utilize it as described in these Terms of Use. They also guarantee that they are not based in or operating from a country with trade restrictions pertinent to the Service, and are not banned from doing business with the United States.

1.8. Each Member agrees to defend, indemnify, and hold harmless Wren and related parties (including directors, employees, contractors, and others) from legal claims, damages, or costs, including attorney's fees, that may arise from using the Service. This includes any false representation made by the Member or their breach of these Terms of Use.

1.9. Wren is not responsible for any indirect or unexpected damages that result from using or not being able to use the Service. This includes losing access to the Service, inaccurate results, portfolio non-performance, or damage to data or devices. Wren’s total liability for any claims will not exceed the amount a Member paid for the Service in the past twelve months.

1.10. Wren makes no guarantees about the accuracy, availability, or performance of the Service and the content within it. Access to the Service may be unavailable during peak demand, system upgrades, malfunctions, scheduled or unscheduled maintenance, or for other reasons.

1.11. Wren may, at its sole discretion and at any time, update, change, suspend, make improvements to, or discontinue any aspect of the Service—temporarily or permanently.

Individual subscriptions

2.1. An Individual subscription is an agreement between Wren and a person offsetting a chosen percentage of their carbon footprint, who is referred to as a Subscriber.

2.2. When a Subscriber joins Wren, they choose their currency, payment amount, billing frequency, and portfolio (for example, Wren Classic or Wren Trailblazer). The projects and allocations within these portfolios may change at Wren’s discretion. Wren may advise Subscribers of allocation updates if there is a change of at least five percentage points across their portfolio.

2.3. Wren may offer incentives for starting or resuming an Individual subscription. Free month promotions are capped at $30 USD per month or the equivalent in the Subscriber’s currency. If a Subscriber selects an Individual subscription exceeding this amount, they will be charged the balance. After the promotional period, the Subscriber will be charged their full Individual subscription amount at their chosen payment frequency unless they pause or cancel their Individual subscription.

2.4. Wren will never change a Subscriber’s payment amount unless that Subscriber requests such a change, however there are various factors that could lead to a Subscriber’s impact changing, such as an adjustment to the proportion of fees within an Individual subscription payment or the buying power of the Subscriber's currency compared to the United States dollar.

Teams subscriptions

3.1. A Teams subscription is an agreement between Wren and a business offsetting the carbon footprints of chosen employees, who are referred to as Teams members.

3.2. Teams admins are responsible for configuring the Teams subscription, onboarding Teams members, and managing payments—including the additional charges for new Teams members. Wren is not responsible for ensuring this information is accurate.

3.3. Each Teams subscription funds the Wren Classic portfolio unless an alternative portfolio is confirmed with Wren during account set-up. The projects and allocations within portfolios may change at Wren’s discretion. Wren will advise Teams members of allocation updates if there is a change of at least five percentage points across their entire portfolio.

Flight offsets

4.1. A Flight offset is a payment to offset the carbon dioxide equivalent of a chosen flight path.

4.2. Wren endeavors to ensure its Flight offset calculations are accurate, but is not responsible for any inaccuracies in data or results.

4.3. Flight offsets offset carbon dioxide equivalents by funding the Wren Classic portfolio. These are recorded under the total tonnes offset figure on Member dashboards.

One-off offsets

5.1. A One-off offset is a payment to offset a chosen amount of carbon dioxide equivalent.

5.2. One-off offsets offset carbon dioxide equivalents by funding the Wren Classic portfolio, Wren Trailblazer portfolio, or another portfolio at the Member’s or Teams admin's discretion. These are recorded under the total tonnes offset figure on Member or Teams dashboards respectively.

Gifts

6.1. A Gift is a payment made by the Gift sender to offset a chosen amount of the carbon footprint of the Gift recipient.

6.2. The Gift is sent to the Gift recipient by email on either the date of purchase or on another date as specified by the Gift sender. The Gift recipient’s email address is not stored in Wren’s database and is only used to deliver the Gift email. The Gift sender is notified when the Gift recipient has been sent the Gift email.

6.3. Gifts offset carbon dioxide equivalents by funding the Wren Classic portfolio. These are recorded under the total tonnes offset figure on Gift sender dashboards.

Non-profit contributions

7.1. A Non-profit contribution supports an initiative under the Wren Climate Collective, including general contributions to the Wren Climate Collective and donations to certain fundraisers.

7.2. There are set requirements for whether an initiative is eligible to receive Non-profit contributions, as assessed by Wren’s fiscal sponsor, GVNG.org. Individual subscriptions and Team subscriptions are not Non-profit contributions unless specified.

7.3. Wren accepts a range of payment methods for Non-profit contributions, including cash, checks, stock, cryptocurrency, donor-advised fund transfers, and employer matching.

7.4. Non-profit contributions may be tax-deductible in the United States depending on individual circumstances. It is the Member’s responsibility to confirm any tax implications with their financial advisor.

Actions

8.1. Actions outline suggestions for how to live a more sustainable lifestyle or reduce personal emissions, including advocacy campaigns and community challenges.

8.2. Wren is not liable for any misleading information within Actions, or any negative implications that occur as a result of any person completing a suggested Action.
